Vendor Terms of Service

1. Vendor Agreement
Welcome to ShambaCare Organics, the organic pesticide marketplace for farmers. By registering as a vendor on our platform, you agree to be bound by these Vendor Terms of Service ("Vendor Terms"). These Vendor Terms supplement the general ShambaCare Terms of Service and apply specifically to organic pesticide vendors.
These Vendor Terms constitute a legally binding agreement between you ("Vendor," "you," or "your") and ShambaCare ("we," "us," or "our").
2. Vendor Eligibility
To become a vendor on ShambaCare Organics, you must:
- Be at least 18 years of age
- Have a registered business or be a legitimate agricultural product supplier
- Have valid business licenses and certifications where required by law
- Provide accurate and complete business information
- Comply with all applicable Kenyan agricultural and business regulations
3. Vendor Registration
3.1 Registration Process
To register as a vendor, you must:
- Complete the vendor registration form with accurate business information
- Provide business name, contact details, and location information
- Submit proof of business license or registration
- Provide any relevant organic certification documentation
- Accept these Vendor Terms and the general ShambaCare Terms of Service
3.2 Verification
All vendor applications are subject to verification by ShambaCare. We reserve the right to:
- Verify business information and licenses
- Contact vendors for additional documentation
- Approve or reject vendor applications at our sole discretion
- Suspend or terminate vendor accounts for providing false information
4. Product Listing Requirements
4.1 Product Information
As a vendor, you agree to:
- List only organic pesticide products that you legally own or are authorized to sell
- Provide accurate and complete product descriptions
- Include true and current pricing information
- Display accurate product images
- Specify product categories and units clearly
- Maintain accurate stock availability information
4.2 Organic Certification
For products labeled as "organic," you must:
- Have valid organic certification from recognized certifying bodies
- Provide certification details upon request
- Ensure all organic claims are truthful and substantiated
- Comply with Kenyan organic agricultural standards
4.3 Prohibited Products
Vendors are prohibited from listing:
- Non-organic or synthetic pesticides
- Expired or contaminated products
- Products banned by Kenyan agricultural authorities
- Counterfeit or adulterated products
- Products without proper labeling or safety information
5. Pricing and Payments
5.1 Pricing
Vendors must:
- Set fair and competitive prices for their products
- Include all applicable taxes in displayed prices
- Not engage in price gouging or unfair pricing practices
- Update prices promptly when changes occur
5.2 Transactions
ShambaCare Organics serves as a marketplace connecting vendors with farmers. All financial transactions are conducted directly between vendors and buyers. ShambaCare does not:
- Process payments on behalf of vendors
- Handle product shipping or delivery
- Provide payment guarantees or escrow services
6. Vendor Responsibilities
6.1 Customer Service
Vendors must:
- Respond promptly to customer inquiries
- Provide accurate product information and usage instructions
- Honor committed pricing and availability
- Address customer complaints professionally
6.2 Quality Assurance
Vendors are responsible for:
- Ensuring product quality and safety
- Proper storage and handling of products
- Providing safe and effective agricultural inputs
- Complying with product safety regulations
7. Vendor Fees and Commissions
ShambaCare reserves the right to:
- Charge listing fees for vendor accounts
- Impose commission fees on featured product placements
- Offer premium listing packages for enhanced visibility
- Modify fee structures with reasonable notice
8. Vendor Account Management
8.1 Account Security
Vendors must:
- Maintain the security of their vendor account credentials
- Notify ShambaCare immediately of unauthorized access
- Be responsible for all activities under their account
8.2 Account Termination
ShambaCare may suspend or terminate vendor accounts for:
- Violation of these Vendor Terms
- Providing false or misleading information
- Selling prohibited or non-compliant products
- Customer complaints or fraud reports
- Non-payment of applicable fees
9. Dispute Resolution
9.1 Customer Disputes
In case of disputes between vendors and customers:
- Vendors should attempt to resolve disputes directly with customers
- ShambaCare may mediate disputes at its discretion
- ShambaCare's decisions on dispute resolution are final
9.2 Vendor Complaints
Vendors may submit complaints about the platform to ShambaCare for review and resolution.
10. Intellectual Property
Vendors retain ownership of their product information and images but grant ShambaCare a license to display this information on the platform. Vendors must ensure they have the right to use all images and content they upload.
11. Compliance with Laws
Vendors must comply with all applicable laws, including:
- Kenyan agricultural regulations
- Business registration and licensing requirements
- Consumer protection laws
- Organic certification standards
- Environmental protection regulations
12. Indemnification
Vendors agree to indemnify and hold harmless ShambaCare from any claims, damages, or losses arising from:
- Violation of these Vendor Terms
- Product quality or safety issues
- Customer disputes or complaints
- Intellectual property infringement
- Non-compliance with applicable laws
13. Limitation of Liability
ShambaCare is not liable for:
- Product quality or effectiveness
- Transactions between vendors and customers
- Vendor business operations or practices
- Third-party actions or events beyond our control
14. Modifications to Vendor Terms
ShambaCare reserves the right to modify these Vendor Terms at any time. Vendors will be notified of material changes via email or platform notification. Continued use of the platform after modifications constitutes acceptance of the updated terms.
